Terms & Conditions

1. Definitions

  • "We / Us / Yazzo" — Neovia Ltd, trading as Yazzo
  • "Client / You" — the business or individual purchasing services
  • "Services" — the package selected and paid for at sign-up, as listed on yazzo.ai at the time of purchase
  • "Setup Fee" — one-time fee charged at sign-up, as specified in your order summary
  • "Monthly Retainer" — recurring monthly fee for ongoing services
  • "SMS & Telephony Costs" — usage-based costs for SMS messages, missed call text-back, and standard telephony services
  • "AI Voice Agent Minutes" — usage minutes consumed by AI voice agent calls, as tracked by the relevant platform
  • "Usage Costs" — collective term for SMS & Telephony Costs, AI Voice Agent Minutes, and any other platform communication costs incurred on the Client's behalf
  • "Infrastructure" — hosting environments, automation systems, AI agents, phone numbers, subaccounts, and software subscriptions managed under Yazzo

2. Services

Yazzo provides managed AI-powered digital services to small and medium businesses — including websites, booking systems, automations, AI voice agents, and related tools. These are set up, configured, and operated by Yazzo on the Client's behalf as part of an active subscription.

The specific services included in your package are listed on yazzo.ai at the time of sign-up. Optional add-ons are agreed in writing prior to activation. Work outside the scope of your chosen package requires separate written agreement.

3. Fees & Payment

3.1 A Stripe Quote specifying the Setup Fee and Monthly Retainer is issued to the Client at sign-up. The Setup Fee and first month's Monthly Retainer become due once the Client accepts the Quote and Yazzo converts it to an invoice/subscription. Yazzo will not convert the Quote until the Client has provided the information and materials required to deliver the Service. The Setup Fee is non-refundable once charged and covers onboarding, configuration, and initial service setup.

3.2 The Monthly Retainer renews monthly from your go-live date. Payment is due on the renewal date.

3.3 SMS & Telephony. Each package and add-on includes a monthly SMS allowance as follows:

  • Any standard package (without Review Automation or Missed Call Text-Back): 100 SMS/mo included
  • Any package or standalone subscription including Review Automation: 200 SMS/mo included
  • Missed Call Text-Back add-on: adds 100 SMS/mo to the Client's existing allowance

SMS usage beyond the Client's total monthly allowance is billed at cost and invoiced as a separate line item on the following month's statement. Missed Call Text-Back is not available as a standalone service and must be added to an existing package or subscription.

3.4 AI Voice Agent Minutes. Your package includes a monthly voice agent minute allowance as specified at sign-up. Usage beyond your included allowance is billed at cost and invoiced as a line item on your following month's statement. Yazzo will notify you when usage reaches approximately 80% of your included allowance.

3.5 Services are non-refundable once a billing period has begun. Cancellation prevents future billing only.

3.6 Accounts unpaid after 14 days will be suspended. After 30 days, Yazzo reserves the right to terminate the agreement and deactivate associated Infrastructure.

3.7 All fees are in EUR. Payments are processed via Stripe.

4. Contract Term & Cancellation

4.1 Agreements are monthly rolling with no minimum term.

4.2 Either party may cancel with 30 days' written notice sent to hello@yazzo.ai.

4.3 Cancellation does not entitle the Client to a refund of the Setup Fee or any fees already charged.

4.4 On cancellation, Yazzo will provide reasonable assistance with transition, including export of the Client's own content and data on written request. Details of any Infrastructure transfer are covered in Section 8.

4.5 All hosted services, automations, AI agents, and communication systems remain active until the end of the final billing period following notice, after which they will be deactivated.

5. Scope of Services

5.1 Services are limited to those included in your chosen package as listed on yazzo.ai at the time of sign-up.

5.2 Basic website packages include up to 3 pages and one revision per month. More complex or larger builds are available and scoped separately.

5.3 Email marketing campaigns and email deliverability management are available as add-ons and are not included in standard packages unless explicitly confirmed in writing.

5.4 Yazzo does not provide legal, medical, financial, or compliance advice. Any AI-generated content is the Client's responsibility to review before use.

5.5 Yazzo does not guarantee specific business outcomes, leads, revenue, or search engine rankings.

5.6 Services are provided on a reasonable-efforts basis. Yazzo does not warrant that services will be uninterrupted or error-free.

5.7 Booking System. Where a package includes a booking system, Yazzo will set up and integrate a compatible booking tool with the Client's website and/or AI voice agent. The Client is responsible for maintaining their own booking system account. Yazzo recommends Cal.com (free plan available) where the Client does not already have a booking system in place. Yazzo does not cover the cost of any third-party booking platform subscription the Client chooses to use.

6. Domains & Hosting

6.1 Yazzo-hosted sites (yazzo.ai subdomain). Where a site is hosted on a Yazzo subdomain (e.g. yourbusiness.yazzo.ai), Yazzo manages the hosting environment. The subdomain and hosting remain part of Yazzo's Infrastructure for the duration of the subscription.

6.2 Client-owned domain. Where a Client purchases and holds their own domain, it remains the Client's property. Yazzo requires access to DNS settings to set up and manage the site. The Client retains full control of their domain account at all times.

6.3 Domain purchased by Yazzo on Client's behalf. Where Yazzo purchases a domain on the Client's behalf (costs passed through at sign-up), that domain belongs to the Client. Yazzo will transfer registrar access to the Client on written request.

7. Managed Services & Infrastructure

7.1 Yazzo provides websites, automations, AI voice agents, booking systems, and related tools as managed services. These are configured and operated by Yazzo as part of an active subscription. Continuity of all services depends on maintaining an active subscription.

7.2 Third-party accounts, hosting environments, automation systems, AI agents, phone numbers, CRM subaccounts, and software subscriptions under Yazzo's Infrastructure remain under Yazzo's control unless otherwise agreed in writing.

7.3 If the Client wishes to transfer any Infrastructure element on cancellation, this must be requested in writing before the cancellation date. Yazzo will make reasonable efforts to assist with transfer. Fees may apply depending on the complexity of the transfer.

7.4 Yazzo is not responsible for data loss resulting from cancellation where the Client has not made a prior written request for data export.

8. AI Voice & Virtual Agents

8.1 AI voice and virtual agents are automated systems. They do not replace human staff and should not be treated as such.

8.2 AI agents may produce inaccurate, incomplete, or misunderstood responses, including but not limited to: hallucinations, incorrect booking confirmations, transcription errors, misunderstood accents or languages, and failure to handle complex queries.

8.3 The Client is responsible for reviewing agent behaviour regularly and notifying Yazzo of any issues.

8.4 The Client is responsible for ensuring that use of AI agents complies with applicable laws, including any requirement to disclose to callers that they are interacting with an automated system.

8.5 The Client is responsible for ensuring that any call recording or storage features comply with applicable laws and consent requirements.

8.6 Yazzo is not liable for missed calls, incorrect information relayed by the agent, missed or incorrect bookings, or business loss resulting from agent errors.

9. Support

9.1 Support is provided during normal business hours (Monday to Friday, 09:00 to 18:00 EET) on a reasonable-efforts basis.

9.2 Priority support (Full Service package) means faster response during business hours. It does not mean round-the-clock availability.

9.3 Automated systems may operate outside business hours. Monitoring and support for those systems is provided during business hours only.

10. Intellectual Property

10.1 The Client owns their branding, logos, written content, and images supplied by the Client, upon full payment of all fees due.

10.2 Yazzo retains ownership of all underlying code, templates, frameworks, automation logic, workflow architecture, AI agent prompts and configurations, and reusable components, whether or not adapted for the Client's services.

10.3 Yazzo may reference the Client's business name and website in its portfolio unless the Client requests otherwise in writing.

11. Data & Privacy

11.1 Yazzo processes personal data in accordance with its Privacy Policy (available at yazzo.ai/privacy).

11.2 In delivering services, Yazzo acts as a data processor on behalf of the Client. The Client remains the data controller for their customers' data.

11.3 The Client is responsible for ensuring their use of Yazzo services complies with applicable data protection laws, including GDPR where applicable.

12. Liability

12.1 Yazzo's total liability for any claim shall not exceed the total Monthly Retainer fees paid in the 3 months preceding the claim.

12.2 Yazzo is not liable for indirect, consequential, or loss-of-profit damages of any kind.

12.3 Yazzo is not liable for downtime, errors, data loss, or changes made by third-party platforms including but not limited to GHL, Vapi, Cal.com, Twilio, Stripe, or Airtable.

12.4 Yazzo is not liable for inaccuracies or errors in AI-generated content or voice agent outputs.

13. Indemnity

The Client agrees to indemnify and hold harmless Neovia Ltd (trading as Yazzo), its directors, and contractors from any claims, losses, damages, or legal costs arising from:

  • Content provided by the Client that infringes third-party rights
  • The Client's unlawful use of services
  • The Client's failure to comply with applicable laws (including GDPR, data protection, and telecoms regulations)
  • Claims made by the Client's own customers relating to the Client's products or services

14. Force Majeure

Neither party is liable for failure or delay caused by circumstances beyond reasonable control, including internet outages, third-party platform failures, natural disasters, or government actions.

15. Governing Law

These Terms are governed by the laws of the Republic of Cyprus. Any disputes are subject to the exclusive jurisdiction of the courts of Cyprus.

16. Changes to These Terms

Yazzo may update these Terms at any time. Clients will be notified by email at least 14 days before material changes take effect. Continued use of services after that date constitutes acceptance.

These Terms apply to all Yazzo services purchased from the date shown above.
